Vietnamese Business Association
Chapter I – General Provisions
§1. Name and Nature of the Association
- The association named "Vietnamese Business Association", hereinafter referred to as the "Association", is a voluntary, self-governing, and permanent organization of individuals.
- The Association operates based on the provisions of the Act on Associations (Journal of Laws of 1989, No. 20, item 104, as amended) and this Statute.
§2. Registered Office and Area of Operation
- The registered office of the Association is Wólka Kosowska.
- The Association operates within the territory of the Republic of Poland.
§3. Duration of the Association
The Association is established for an unlimited period.
Chapter II – Objectives and Activities
§4. Objectives of the Association
The objectives of the Association are:
- Developing entrepreneurship among its members.
- Mutual support in business ventures.
- Promoting economic and legal knowledge as well as ethical business practices.
- Cooperating with state and local authorities to support business development.
- Assisting members in solving business-related problems.
- Promoting members and facilitating business networking.
- Organizing cultural, educational, and sports activities.
§5. Forms of Activity
The Association achieves its objectives through:
- Collaboration and mutual support among members.
- Organizing training sessions, trade fairs, and business visits.
- Providing advisory and informational services.
- Representing the business community before public authorities.
- Promoting the Association and its members through media and the Internet.
- Other actions supporting the statutory objectives of the organization.
§6. Membership in Other Organizations
The Association may be a member of national and international organizations with similar objectives.
§7. Economic Activity
- The Association may conduct economic activities in accordance with applicable regulations.
- Any income from economic activities shall be used exclusively for statutory purposes and shall not be distributed among its members.
Chapter III – Membership
§8. Types of Membership
The Association has two types of members:
- Ordinary Members – individuals who meet the criteria set out in §9.
- Honorary Members – individuals who have made a significant contribution to the Association, as granted by the General Assembly.
§9. Conditions for Ordinary Membership
- Ordinary membership is open to individuals who:
- Have full legal capacity,
- Conduct business or managerial activities in Poland,
- Obtain a recommendation from two ordinary members,
- Pay the membership fee.
- Admission is granted by the Management Board through a resolution.
§10. Rights and Obligations of Members
- Ordinary Members have the right to:
- Vote and be elected to the governing bodies,
- Participate in the Association’s activities,
- Use the Association’s recommendations and support.
- Honorary Members may participate in the General Assembly with an advisory vote.
§11. Termination of Membership
Membership is terminated due to:
- A written resignation submitted to the Management Board.
- Expulsion by the Management Board for:
- Violating the Statute,
- Failing to pay membership fees for 12 months,
- Acting against the interests of the Association.
- Death of a member.
Chapter IV – Governing Bodies
§12. Authorities of the Association
The governing bodies of the Association are:
- General Assembly of Members,
- Management Board,
- Audit Committee.
§13. General Assembly of Members
- The General Assembly of Members is the highest authority of the Association.
- Its powers include:
- Approving the program of activities,
- Electing and dismissing the Management Board,
- Determining the membership fees,
- Deciding on the dissolution of the Association.
§14. Management Board
- The Management Board consists of 5 to 10 members, including:
- President,
- Two Vice Presidents,
- Secretary,
- Treasurer,
- Other Board Members.
- The Management Board is responsible for the daily operations of the Association.
- Resolutions are passed by a simple majority vote.
§15. Audit Committee
- The Audit Committee consists of 2 to 5 members, who may not hold other positions in the governing bodies.
- Its powers include:
- Supervising the activities of the Management Board,
- Requesting the convening of the General Assembly,
- Evaluating financial reports and governance.
Chapter V – Assets and Finances
§16. Sources of Funding
The Association’s assets come from:
- Membership fees.
- Donations, inheritances, and bequests.
- Public collections and revenue from economic activities.
§17. Representation of the Association
- The Association is represented by:
- The President and one Board Member jointly, or
- Three Board Members jointly.
Chapter VI – Final Provisions
§18. Dissolution of the Association
- The Association may be dissolved by a resolution of the General Assembly, passed by a two-thirds majority vote.
- Upon dissolution, the General Assembly shall determine the method of liquidation and the allocation of the Association’s assets.
